Yes, if you’ve already signed contracts as a sole trader and you’re now running your business through a company, you’ll still be personally bound by those old contracts unless you formally transfer them. This deed moves the contract from you as an individual to your company.

Then you don’t need this. This template is only for business owners who already have contracts in place as a sole trader and want their company to take over those agreements with clients.

Not safely. If you don’t transfer the contract, your client can still hold you personally responsible if something goes wrong. The novation deed ensures your company steps in and you’re released from personal liability.

An assignment only transfers your benefits (like payments) but not your obligations. With a novation, your company steps into your shoes completely rights and responsibilities and you’re released.

Yes. The outgoing party (you as sole trader), the incoming party (your company), and the continuing party (your client/customer) all need to sign for the novation to be valid.
