Variation to Lease - Side Letter Deed


This variation to a lease is also known as a Side Letter Deed.  A side letter deed is something that parties to a commercial or retail lease intend to be legally binding. It can be used by parties who have agreed to a small number of supplementary arrangements in connection with a lease which does not require a formal variation (for example, a landlord granting certain rent concessions to the tenant for a limited period of time due to COVID-19)


This Side Letter Deed sets out the terms on which a landlord and tenant will agree to supplemental changes that will vary their lease.

Side letter deeds are generally used for temporary concessions to the tenant for example: where landlord has to carry out small work on the premises, rent concessions, relaxation on restrictions on tenant alterations to the premises.

Side letters can be a convenient way to supplement the existing arrangements under a lease and enable both parties to temporarily and confidentially adjust their rights and obligations under the lease. Where the lease is, or is intended to be registered, side letters are a common tool used by parties to record terms they want to keep confidential.

For more complex arrangements (e.g detailed tenant incentives), it is preferable to use a formal deed rather than this letter format.
